1. Nature of the Platform
MDQ+ is a proprietary digital health platform owned and operated by Vehtr Technology Limited, a private company limited by shares and registered under the Companies and Allied Matters Act 2020.
- The platform functions strictly as a Software-as-a-Service (SaaS) marketplace that facilitates connections between independent, licensed medical practitioners and users.
- Vehtr Technology Limited does not provide medical services and does not employ the practitioners on the platform; all clinical services are rendered by independent third-party professionals.
2. User Registration & Account Security
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. You must provide true, accurate, current, and complete registration information.
3. Purchases, Payments, and Subscriptions
We accept payments via integrated third-party providers (Paystack). You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. All payments shall be in Naira.
- Subscriptions: Your subscription will continue and automatically renew unless cancelled. You can cancel your subscription at any time by logging into your account settings.
4. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you specifically agree not to:
- Medical Misrepresentation: Falsely claim a medical emergency to expedite a consultation, or submit fraudulent, manipulated, or third-party medical data (including images or test results) for analysis.
- API/System Abuse: Use automated scripts, bots, or excessive manual requests to spam the VIP doctor request system, the AI Symptom Checker, or any platform API endpoints.
- Doctor Harassment: Engage in abusive, harassing, or threatening behavior toward any independent medical practitioner during a video consultation or via the platform's chat functions.
- General Abuse: Circumvent, disable, or otherwise interfere with security-related features of the Services, including hardware-level data siloing.
5. Emergency Use
MDQ+ is not for emergency medical use. In life-threatening situations, users are contractually obligated to utilize the "Emergency" action feature to contact local authorities or visit a physical hospital immediately.
6. Telecommunication and Network Disclaimer
MDQ+ facilitates telemedicine and emergency alerts via third-party video (RTC) and cellular networks. Vehtr Technology Limited is not liable for dropped video consultations, delayed emergency SMS dispatches, or degraded service quality caused by the user's internet service provider, local cellular network instability, or device hardware limitations.
7. AI Clinical Decision Support Disclaimer
The platform's AI Symptom Checker and optical analysis features utilize proprietary machine learning for informational purposes only. These outputs are "Clinical Decision Support" tools and do not constitute a medical diagnosis, triage, or prescription. Vehtr Technology Limited is not liable for user actions taken based solely on AI-generated summaries without independent verification by a licensed human medical practitioner on the platform.
8. Dispute Resolution
- Informal Negotiations: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms, the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.
- Binding Arbitration: If the parties are unable to resolve the dispute through informal negotiation, the dispute shall be finally resolved by binding arbitration in accordance with the laws of Nigeria.

2. Nature of Service (The Technology Intermediary)
MDQ+ is a technology infrastructure provider. We provide the digital "pipe" that connects you with independent, licensed medical practitioners.
- Independent Providers: This policy does not apply to the independent clinical practices of the doctors on the platform.
- Not a Medical Provider: Vehtr Technology Limited is a technology firm, not a healthcare facility, and does not employ the practitioners.
3. Information We Collect
To provide our services, we collect the following:
- Personal Data: Name, gender, date of birth, and contact details.
- Medical Data: Symptom descriptions, urinalysis photos, and consultation history.
- Technical Data: IP address, device type, precise geolocation data (GPS coordinates), and device location settings status to facilitate local emergency connections.
- Professional Data (for Doctors): MDCN registration numbers and practicing licenses.
4. Google Maps API & Location Data
We use certain Google Maps Platform APIs to retrieve information when you make location-specific requests (such as our Emergency SOS feature). We obtain and temporarily store on your device (cache) your precise geolocation data (GPS coordinates), IP Address, and device location settings status. Our use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
5. AI & Machine Learning Disclaimer
MDQ+ utilizes proprietary ML-inference and LLM APIs to provide symptom summaries and optical analysis.
- Non-Diagnostic: All AI-generated outputs are "Clinical Decision Support" tools for informational purposes only.
- Human-in-the-Loop: AI results do not constitute a final medical diagnosis or prescription and must be verified by a licensed human doctor on the platform.
6. How We Use Your Data
- Consultations: To facilitate encrypted video (Agora RTC) and chat sessions between you and your doctor.
- Payments: To process transactions through our integrated partners (Paystack).
- Safety: To provide the "Emergency" quick-action feature based on your current location.
7. Data Security & Sovereignty
We take industry-leading precautions to safeguard your information:
- Hardware-Level Siloing: We utilize Row Level Security (RLS) to ensure your data is only accessible to you and the doctor you are actively consulting.
- Encryption: All video and chat data is encrypted during transmission.
- Storage: Data is handled in compliance with the Nigeria Data Protection Act (NDPA) and NDPR.
8. Third-Party Sharing
We do not sell your data. We only share information with:
- Verified Doctors: To enable your chosen consultation.
- Technical Partners: Secure cloud hosting, SMS dispatch, and payment gateways.
- Legal Authorities: Only when required by law or for public safety investigations.
9. Your Rights & Age Restrictions
- Age Limit: You must be 18 years or older to create an account on MDQ+. We do not knowingly collect data from children under 18.
- Access & Correction: You have the right to request a copy of your data or have inaccuracies corrected.
- Withdrawal: You may delete your account at any time, whereupon your personal data will be removed from our active database.

MDQ+ Doctor Payout Terms and Conditions

1. Introduction and Contractor Status
These Payout Terms and Conditions ("Payout Terms") govern the payment relationship between Vehtr Technology Limited ("Company", "we", "us") and independent medical practitioners ("Doctor", "you") utilizing the MDQ+ platform.
By entering your bank details and utilizing the platform to provide clinical services, you acknowledge that you operate as an independent contractor. You are not an employee, agent, or partner of Vehtr Technology Limited. You are solely responsible for your own medical practice, licensing, and professional liability.
2. Platform Fees and Revenue Share
MDQ+ operates as a Software-as-a-Service (SaaS) marketplace. In exchange for providing the digital infrastructure, video routing, patient acquisition, and AI tools, the Company retains a platform commission on every completed consultation and premium booking.
- Net Payouts: The funds reflected in your MDQ+ Payout Dashboard represent your net earnings after the deduction of the platform commission and any applicable third-party payment processing fees.
- Fee Modifications: Vehtr Technology Limited reserves the right to adjust the platform commission structure. Doctors will be provided with a minimum of thirty (30) days' written notice prior to any changes affecting their revenue share.
3. Payment Processing and Schedule
All financial transactions on MDQ+ are securely facilitated by our third-party payment gateway partner (e.g., Paystack).
- Currency: All payouts are calculated and disbursed in Nigerian Naira (NGN).
- Payout Cycles: Payouts of cleared funds will be disbursed to your designated bank account according to the platform's standard automated rolling schedule or upon a manual withdrawal request, subject to standard banking clearance times.
- Minimum Threshold: The Company may institute a minimum withdrawal threshold. Balances below this threshold will roll over to the next payout cycle.
4. Bank Account Accuracy
You are strictly responsible for providing and maintaining accurate, active, and legally compliant bank account information in your MDQ+ Payout Settings.
- The bank account provided must be registered in your legal name or the legal name of your registered clinical practice.
- Vehtr Technology Limited is not liable for delayed, lost, or misdirected funds resulting from incorrect bank details entered by the Doctor.
5. Refunds, Chargebacks, and Disputes
As the technology intermediary, the Company assumes no liability for patient dissatisfaction regarding your clinical services.
- Patient Refunds: If a patient successfully claims a refund due to a missed appointment, unprofessional conduct, or technical failure on your end, the Company reserves the right to deduct the refunded amount from your current or future payout balance.
- Chargebacks: In the event of a fraudulent chargeback initiated by a patient's bank, the Company will reasonably dispute the chargeback. However, if the chargeback is sustained, the corresponding funds will be clawed back from your account balance.
6. Taxes and Regulatory Compliance
You are solely responsible for the calculation, reporting, and remittance of all applicable local, state, and federal taxes (including Personal Income Tax and VAT, where applicable) arising from your earnings on the MDQ+ platform. Vehtr Technology Limited does not withhold taxes on your behalf and will not be held liable for any tax obligations incurred by your independent practice.
7. Suspension of Payouts
The Company reserves the right to temporarily freeze or suspend your payouts without prior notice in the event of:
- Suspected fraudulent activity or platform abuse.
- An active investigation into severe medical malpractice or violation of the MDQ+ Terms and Conditions.
- A direct request or legal order from Nigerian regulatory or law enforcement authorities.

By saving your payout settings and accepting disbursements from the MDQ+ platform, you irrevocably agree to be bound by these Payout Terms.
